Our sell-side practice is centered on the middle market. Our execution standards and counterparty reach extend to private equity sponsors, strategic buyers, institutional investors, and other sophisticated counterparties. We lead the full transaction lifecycle, from positioning and preparation through counterparty engagement, negotiation, diligence, and closing.
Each mandate is designed around the client's objectives and the process most likely to achieve them. Our M&A practice includes Sell-Side Advisory, Buy-Side Advisory, and Strategic Advisory.

What We Do
Sell-Side Advisory.
We represent owners and shareholders pursuing a full or partial exit. Each engagement begins by defining the seller's objectives, developing the transaction thesis, preparing the company for market, and establishing a valuation framework grounded in the company's performance and relevant market evidence.
We then develop the buyer universe, prepare transaction materials, manage controlled outreach and information release, solicit and compare proposals, and lead negotiations through diligence and closing. We evaluate offers across more than headline valuation. Structure, conditionality, financing, timing, and certainty of close all factor into the analysis so the process remains aligned with the owner's actual priorities.
Buy-Side Advisory.
We represent strategic acquirers, private equity sponsors, and investment platforms pursuing growth through acquisition. Our work begins with acquisition criteria and market mapping, followed by target identification, screening, and direct outreach to both marketed and proprietary opportunities.
Once a target is engaged, we evaluate strategic and financial fit, develop the valuation and transaction structure, manage negotiations, and coordinate diligence through closing. For clients pursuing a programmatic acquisition strategy, we provide continuity across multiple transactions while maintaining discipline in target selection, pricing, and execution.
Strategic Advisory.
A complete sale is not always the right answer. Owners seeking partial liquidity, growth capital, operational expertise, entry into new markets, or a more focused portfolio may benefit from alternatives such as minority investments, recapitalizations, joint ventures, non-core divestitures, and strategic alliances.
We help clients determine which structure best fits their objectives, identify and evaluate counterparties, and negotiate the economic, governance, and control provisions that shape the long-term outcome. The goal is not simply to complete a transaction, but to select a structure that supports what the owner wants to retain, realize, or build next.
Our Approach
Each mandate is led by a managing director who remains directly involved through closing. We assemble the resources appropriate to the transaction while maintaining continuity of judgment, relationships, and accountability at every stage.
- •Define the objective. Establish the client's priorities: valuation expectations, timing, liquidity requirements, confidentiality considerations, and acceptable transaction structures.
- •Prepare the company. Develop the transaction narrative, build the financial analysis, prepare marketing materials, and design the diligence strategy.
- •Design the process. Select the right process format based on the client's objectives, the buyer landscape, and confidentiality requirements. A broad auction, limited process, and bilateral negotiation each serve different situations.
- •Engage the market. Approach selected counterparties, manage information release through NDA-gated stages, evaluate indications of interest, and maintain competitive dynamics.
- •Negotiate and close. Compare offers across value, structure, certainty, and execution risk while coordinating diligence and maintaining momentum through definitive documentation and closing.
